Terms of Service

These Terms of Service (“Terms”) govern access to and use of Sentan Inc.’s website, AI receptionist services, and related software, tools, communications, and integrations (“Services”). By using the Services, you acknowledge that you have read, understand, and agree to be bound by these Terms and applicable laws, including Canadian privacy, consumer protection, and communications requirements where relevant.
1. Acceptance of Terms
These Terms apply to all visitors, prospective clients, and users of the Services. If you are acting on behalf of a company or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms.
2. Description of Services
Sentan provides AI-driven voice and communications automation for business use, including call handling, lead qualification, appointment booking, customer intake, escalation workflows, and related operational support. The exact functionality and configuration of the Services will depend on the information, workflows, scripts, and business rules provided by the client.
Sentan is not a legal, compliance, or regulatory advisor and does not guarantee that any specific workflow, script, or call handling process will satisfy all legal, contractual, or industry-specific requirements applicable to a client’s operations. Clients remain responsible for ensuring their own practices comply with all applicable law.
3. Client Responsibilities
You agree to:
- Provide accurate and complete information about your business, operating hours, service areas, scheduling rules, escalation contacts, and customer-facing scripts.
- Review and approve configuration details relevant to your business before the Services are used in production.
- Ensure that all communications, recordings, scripts, and customer interactions conducted through the Services comply with applicable law, including privacy, consent, advertising, telemarketing, and call recording requirements.
- Provide timely notice of any changes affecting service configuration, contact information, business operations, or legal requirements.
- Use the Services only for lawful purposes and not for abusive, fraudulent, deceptive, harassing, spam-related, or otherwise improper activities.
4. Use Restrictions
You may not use the Services to engage in unlawful activity, transmit malicious or harmful content, interfere with system security or service availability, or attempt to reverse engineer, scrape, or access components of the platform beyond the authorized scope of use.
Sentan may suspend, limit, or terminate access to the Services if we reasonably determine that the Services are being used in a way that creates material operational risk, legal risk, security risk, or non-compliance with these Terms.
5. Fees, Billing, and Taxes
Access to the Services is billed according to the subscription, pricing, or order terms applicable to your account. Fees are due in accordance with the agreed billing cycle, and applicable taxes may be added where required by law.
Sentan may revise pricing or billing arrangements with reasonable notice if required under a separate written agreement. Unless expressly stated otherwise in writing, prepaid fees are generally non-refundable and cancellation rights are subject to the terms of the applicable order or service agreement.
6. Personal Information, Call Data, and Records
Call recordings, transcripts, metadata, customer information, and related service data may be processed, stored, and used as part of the Services. You are responsible for ensuring your own collection, use, disclosure, and retention of such information complies with applicable law, including consent requirements, privacy notices, and record retention obligations.
Sentan may use aggregated or anonymized operational data to improve performance, quality, and service reliability, provided that such data does not identify individuals or customers in a manner inconsistent with applicable privacy obligations.
7. Confidentiality
Each party will protect the other party’s non-public information with at least the same degree of care it uses to protect similar information of its own, and in no event with less than reasonable care. Confidential information includes business information, pricing information, service configuration details, scripts, account information, operational data, and any other information identified as confidential or that a reasonable person would understand as confidential.
Each party will use confidential information only for the purpose of providing or receiving the Services and not for unrelated commercial or personal purposes.
8. Intellectual Property
All content, software, interfaces, scripts, workflows, branding, templates, documentation, and related materials owned or provided by Sentan remain the exclusive property of Sentan or its licensors. You may use the Services only for the specific business purpose for which they are provided and may not copy, redistribute, resell, reverse engineer, or exploit our proprietary content or technology except as expressly authorized in writing.
9. Service Availability and No Guarantee
Sentan strives to provide reliable and secure Services, but service availability, performance, and response times may vary depending on network conditions, provider systems, third-party integrations, and other operational factors. Sentan does not guarantee uninterrupted, error-free, or 100% accurate outcomes for every call or workflow.
The Services are intended to support business operations and may not be suitable for all circumstances or customer scenarios. Final business outcomes, customer satisfaction, and compliance outcomes remain subject to client configuration, internal policies, and operational execution.
10. Warranties and Disclaimers
Except as expressly stated in a signed written agreement between the parties, the Services are provided on an “as is” and “as available” basis. Sentan makes no warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, reliability, or uninterrupted service, to the extent permitted by applicable law.
11. Limitation of Liability
To the maximum extent permitted by law, Sentan shall not be liable for indirect, incidental, special, consequential, punitive, or similar damages, including loss of revenue, loss of business opportunities, reputational harm, lost profits, or loss of data, whether arising from contract, tort, or otherwise, even if advised of the possibility of such damages.
Except as otherwise required by applicable law or set out in a signed written agreement, Sentan’s aggregate liability arising out of or relating to the Services or these Terms shall not exceed the total fees paid or payable by the client for the applicable Service in the preceding 12 months.
12. Indemnification
You agree to defend, indemnify, and hold harmless Sentan Inc., its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, judgments, costs, and expenses arising from your use of the Services, your business operations, your client scripts or configurations, your failure to comply with applicable laws, or your unauthorized disclosure or misuse of personal information.
13. Term and Termination
These Terms remain in effect for as long as you use the Services or until terminated in accordance with the applicable subscription, order, or written agreement. Sentan may suspend or terminate access to the Services if you materially breach these Terms, fail to pay applicable fees, or create a legal, operational, or security risk.
Upon termination, your access to the Services will end and we may disable account access, remove service configuration, and delete or archive information in accordance with applicable law and contractual obligations.
14. Force Majeure
Sentan will not be liable for delays or failure to perform caused by events beyond our reasonable control, including acts of God, natural disasters, labor disruptions, network outages, cyber incidents, supply chain issues, changes in third-party services, or government actions, provided we act reasonably to mitigate the impact.
15. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. Any dispute arising from or relating to these Terms will be subject to the exclusive jurisdiction of the courts located in Ontario, Canada, unless otherwise required by law.
16. Changes to These Terms
Sentan may update these Terms from time to time to reflect changes in our Services, legal requirements, or operational practices. Continued use of the Services after a revised version is posted constitutes acceptance of the updated Terms. Material changes will be communicated where reasonable and practical.
